These Terms & Conditions (“Terms”) govern your access to and use of the Audiory website, mobile application services, and digital distribution architecture. By creating an account, buying audio assets, or uploading files on Audiory, you agree to be legally bound by these Terms. If you do not accept these parameters, you must cease using the platform immediately.
1. Marketplace Overview
Audiory functions strictly as an online multi-vendor music software environment where music producers design, display, and license musical instrumentals (“Beats”), stems, sound kits, and loop packages to recording artists, filmmakers, and digital content creators. Audiory provides transaction architecture, automated digital download infrastructure, and preview hosting services.
2. Account Responsibilities & Security
- Verification: You must provide legal, current, and complete details during registration. You must update details promptly to keep payment distribution structures functioning.
- Credential Safeguards: You hold full accountability for keeping your password data safe. Audiory cannot be held responsible for financial losses or compromised profiles resulting from shared login credentials.
- Content Auditing: Audiory reserves the structural right to monitor, ban, or purge profiles that alter marketplace parameters or simulate artificial play counters.
3. Beat Licensing & Marketplace Permissions
When an artist purchases a beat on Audiory, they are purchasing a **License to Use** the production asset according to the tier selected at checkout. They are **not** purchasing the structural copyright of the composition unless explicit, legal full-exclusive transfer ownership contracts are processed.
- Basic/Lease Tiers: Grants limited, non-exclusive usage parameters for streaming distribution, non-commercial live performances, and video sync projects up to specified unit ceilings. The producer retains complete rights to continue selling identical leases to other artists.
- Premium/Trackout Tiers: Extends usage rights limits and unlocks access to separated component audio stems (.WAV format) for precision mixing and mastering.
- Exclusive Rights: Pulls the beat from the live storefront catalog so no future leases can be generated. Prior existing lease holders retain their active parameters up until their legal limits expire.
- Audio Watermarks & Tags: Storefront preview files may contain vocal tags. Upon verified processing of checkout transactions, the automated system delivers high-quality, untagged versions according to tier specifications.
4. Payments, Splits, & Chargeback Protocols
Transactions are facilitated using automated third-party payment gateways.
- Digital Delivery Instant Lock: Because file assets are exposed to download triggers instantly upon successful authorization, all sales are considered final and non-refundable.
- Chargeback Disruptions: Executing unauthorized credit card disputes or reversing funds without submitting direct inquiries to [email protected] will trigger immediate account suspension and a total revoke of all active beat licenses.
- Performance Royalties: Recording artists are strictly required to register production credit splits with Performance Rights Organizations (PROs like ASCAP, BMI, PRS) utilizing the producer's legal registration tags as detailed during checkouts.
5. Sampling & Copyright Clearances
Producers are strictly prohibited from uploading content containing uncleared audio samples, loops from commercial media, or copyrighted melodies from other artists.
Indemnity Clause: The uploading producer holds absolute legal accountability for the composition. If a third-party copyright claim surfaces regarding an unauthorized sample within a beat, the producer agrees to defend and indemnify Audiory against any resulting financial claims, legal fees, or damages.
6. Intellectual Property & DMCA System

We execute immediate suspension protocols for profiles flagged as repeat infringers.
7. System Operations & Prohibited Activities
Users agree that they will not engage in the following destructive protocols:
- Using web scrapers, data miners, or automated bots to extract file download blocks from the server.
- Uploading corrupted file archives, viruses, ransomware or hidden scripts targeted at changing frontend rendering.
- Circumventing platform payment mechanisms to complete transactions outside of Audiory.
8. Limitations of Service Liability
Audiory operates its multi-vendor beat marketplace on an “as-is” and “as-available” system layer framework. We do not guarantee that storefront streaming, download distribution pipelines, or payment triggers will be uninterrupted or error-free at all times. We are not legally liable for marketplace profit shortfalls due to standard hosting maintenance intervals or general internet connectivity outages.
9. Policy Variations
We reserve the complete right to modify these marketplace conditions as the software platform scales. Your continued use of the platform and catalog directories after changes go live constitutes legal validation of the new parameters.
